Richard M. Wisely - Chief Executive Officer and Chairman of the Board of Directors

Age 52. Mr. Wisely has twenty-seven years experience in both the Pharmaceutical and Health and Beauty Care industries. He spent 17 years
with Dart Industries -- principally, the former Rexall Drug Company of St. Louis. His last position there was Vice President of Operations.
Shortly thereafter, he joined Sundown Vitamins in its early stages as Vice President of Operations. During the ensuing 10 years, Sundown
evolved into Rexall Sundown, Inc., a successful NASDAQ-traded company with revenues of over $150 million. Their principal activities
included the manufacture, distribution and sales, through a number of channels, of a complete line of consumer-oriented health and nutritional
products. He was instrumental to the successful launch of the Rexall Managed Care line of vitamins, OTC and pharmaceutical products. Before
retiring, Mr. Wisely was Chief Operating Officer and Senior Vice President of Rexall Sundown. He has extensive contacts within the
pharmaceutical and health care products industries.

Francis X. Kearns - President and Chief Operating Officer

Mr. Kearns recently joined LungCheck as Chief Operating Officer after having served in a variety of technical and senior management positions
for both university and for-profit laboratory chains over the past 30 years.

Val J. Eylands, Ph.D. - Executive Vice President and Director

Age 44. A chemist by training, Dr. Eylands has spent the past ten years in the establishment and managing of environmental and medical
laboratories in the United States and overseas. As the President and Co-founder of Laboratory Sciences International -- a full-service pathology
laboratory - he managed 35 employees and $5 million in laboratory sales. Dr. Eylands has also served as President of Med-Source International,
an emerging medical/surgical supply company in Phoenix, AZ. Previously, he directed international development projects for the U.S. State
Department including a 4-year, $15 million project in which Dr. Eylands directed operations for 330 employees. Dr. Eylands is the author of 28
scientific papers and blends both the scientific expertise and business experience necessary for the successful operation of LungCheck Inc.

Jon V. Eylands, M.D. - Chief Pathologist

Age 66. As one of the leading pathologists in the southwestern United States, Dr. Eylands brings a high level of professional credibility to the
LungCheck organization. His keen interest in preventative medicine and expertise in cytology led him to pursue accurate screening criteria
for pulmonary cytologic analysis. He has in the past served as Chief Pathologist and Medical Director for several large institutions, including
National Health Laboratories in Phoenix and the Phoenix Baptist Hospital system. He is also a tireless entrepreneur who is familiar with
start-up operations, having been an owner and integral part of businesses as varied as banking, real estate and oil exploration. In addition to
Co-founding LungCheck, Ltd., he also Co-founded his own successful pathology laboratory. An excellent speaker, Dr. Eylands will be
invaluable in presenting to medical groups.

Warren Gillette, M.D. - Medical Director

Age 51. Dr. Gillette is the founder and president of Arizona Statewide Anatomic Pathology, Inc. ("ASAP"), an independent, CLIA-certified
pathology laboratory located in Scottsdale, AZ. The lab was founded in 1992; prior to that, Dr. Gillette was a pathologist for independent and
hospital laboratories. Both ASAP and Dr. Gillette are accredited by the College of American Pathologists in histology and cytology. Dr.
Gillette is a graduate of the George Washington University.

Susan P. Proudfoot, M.S.H.A. - Vice President Of Research And Technical Affairs

Age 43. Previously the Executive Director for the Lung Cancer Institute of Colorado for the past seven years, Ms. Proudfoot left one of the
most prestigious posts in the academic world of research in early lung cancer detection to join the LungCheck staff. She has designed and
overseen implementation of national clinical trials whose study aims were to improve the efficiency of sputum cytology as an early lung cancer
detection tool. She is widely known in the university, government, and private sectors associated with lung cancer research. It is because she
believes that enough important research has been done recently in the field of sputum cytology that needs to be disseminated to the public that
she decided to leave the academic community and join the LungCheck effort. As a participant in the national SPORE grant (for excellence in
research) from the National Cancer Institute, Ms. Proudfoot brings a high level of recognition and instant credibility in the eyes of many
institutions for the science behind LungCheck. She has authored or co-authored 21 papers and abstracts in the field of sputum cytology.

John E. Ledermann - Vice President and Chief Financial Officer

Age 50. Mr. Ledermann has twenty-two years of experience in the natural resources, biotechnology, specialty chemical and OTC pharmaceutical
industries. His last position was as CFO of the OTC pharmaceutical manufacturing and marketing division of Rexall Sundown, Inc. In that
position, he was involved with the administrative management of the Rexall Managed Care line of products. Previously, Mr. Ledermann was
involved in the successful turnaround of a specialty chemical company and a biotechnology start-up in the Woodlands, Texas. He started his
career in financial management with Exxon Corporation, including ten years in international operations. He received his MBA in Finance and a
BBA in Industrial Management, both from the University of Texas at Austin and is a Certified Public Accountant.

Richard O. Wisely - Director of Marketing

Age 29. Mr. Wisely recently joined LungCheck from Rexall Sundown, Inc. in Boca Raton, Florida. He most recently served in their
marketing department as the Brand Manager for the $75 million Sundown branded line. He was with Sundown for seven years, holding a variety
of positions from telemarketing to key account management for Sundown's largest mass merchandise retail customer. As Director of Marketing,
Mr. Wisely is responsible for initial development and implementation of all marketing plans and public relations for LungCheck.
Additionally he will be responsible for promotional material design and product representation.

D. Roy Serventi - Director of International Sales

John M. Parkman - Director of Laboratory Operations

Age 45. A former accountant and smoking cessation clinic manager. Mr. Parkman turned his attentions to operations management in the
medical field. He served as Operations Manager for MedSource International, a Phoenix based medical supply firm, and Laboratory Sciences
International before joining LungCheck Inc. as their Operations Manager four years ago. He is familiar with all phases of the operation,
including container manufacture, slide preparation, data entry and accounting. His attention to detail and thorough knowledge of the entire
LungCheck process make Mr. Parkman a key member of the team.

William G. Smithbauer - Northeast Regional Sales Manager

Mr. Smithbauer earned his Bachelors Degree in Human Services and has extensive experience in the field of social services, medical marketing
and community relations. Since 1983, Mr. Smithbauer has been engaged in the treatment of tobacco dependence and participated in the
formulation of medical models for tobacco treatment, which are considered the standard of care. He also has extensive experience in tobacco
dependence pharmacotherapies, patient counseling and medical biofeedback. His other professional experiences include Social Worker for the
Ocean County Board of Social Services in New Jersey. Mr. Smithbauer has also educated mentally retarded adults for the NJ Division of Mental
Retardation and served as a case manager working with the psychiatrically disabled. Additionally, he was employed as a community outreach
worker for the Toms River Board of Education and conducted budgetary research for child-care related studies. Mr. Smithbauer currently serves as
Associate Director for LungCheck's Smoking Consultation Service.

Corporate Consultants

Matthew P. Bars, M.S.

Mr. Bars earned his Masters Degree in Psychology and has been actively engaged in the treatment, management, and administration of nicotine
addiction services since 1980. He has been retained as an expert consultant to the nationwide class action Castano tobacco litigation and has been
widely interviewed in the print and electronic media. Mr. Bars has also been called to testify before the FDA and New Jersey State Assembly
concerning current smoking topics. He also serves as a faculty member of the Addictions Certification Program of Bergen County College
teaching nicotine dependence theory and clinical practice. Mr. Bars consults for several pharmaceutical, healthcare and medical diagnostics
companies including the GlaxoWellcome Zyban Smoking Advisory Panel, Zyban National Speakers Bureau, FCB Healthcare Company and
DynaGen, Inc. Mr. Bars currently advises LungCheck on issues involving management, training and support for smoking cessation programs at
numerous physicians' offices, medical facilities and hospitals nationwide.
