It is my understanding: Andy wants to exercise options as soon as possible since he has to pay at income rates (39.6% in his case) on any increase between the exercise price and the stock price when he exercises. Once he has exercised the options and held for a year, any additional gain is taxed at the capital gain rate (28%). Not a bad way save an extra 12% of millions.
