Everyone who owns a particular stock is a promoter for that stock.
You have to look at "INTENT" when it comes to a promoter and to what degree that promoter is associated with a company. Is it the "Intent" to work for the company as a paid promoter? How close was the promoter associated with the company? What authority does the promoter have in speaking for the company? What compensation did the promoter recieve for his services? Was there a material misrepresentation of the company? Was there a material misrepresentation of the facts? Who was damaged by the misrepresentation? What were the damages?
