Vaughn's new job is not the cause of the stock drop. Inconsistent earnings, or lack of expected earnings, is the cause of the stock price declining.

No competitor can infringe on TRMB patents. But there are often trade secrets, etc., than can be compromised. It sounds, though, as if Vaughn were not in the technical line of fire, but more in the business arena. He'd be in a position to let Magellan know the directions TRMB was aiming at in the marketplace (if Magellan didn't already know that anyway). Given his reputation as mediocre, I suspect he was hired for this, and then will be discarded when his usefulness is over.

All in all, predictably sleazy business tactics by both Vaughn and Magellan.
