To the Shareholders of Naxos Resources Ltd.

PLEASE TAKE NOTE

The annual meeting will be held in Vancouver this week--Friday, July 24.

Shareholder opinion is divided over many issues concerning management and the direction of future corporate strategy. If you have any feeling about how these matters should turn out, your vote will count, but you must make it count.

These are your basic choices:

1) You may attend the meeting and vote for yourself.
2) You may have management vote for you.
3) You may designate any person at the meeting to vote for you.
4) You may completely abstain from voting, for either side.

If your shares are in street name, they will be voted by management, even if you have not returned your card, unless you call in on the 800 number on the card and report that you plan to attend the meeting. You will then receive a "legal proxy," and management will be denied those votes.

A legal proxy can be transferred to someone else to vote for you at the meeting, but this is complicated. You may write a letter clearly showing your intent, sign it, and fax a copy to Montreal Trust, with a copy of your legal proxy included. The fax number is 604-683-3694, Attention Jeff Alexander.
