Exactly ... Private placements have been around for a long time. They are excellent investment opportunities for long term investors because an investor can buy larger blocks at a set rate. This gives the company a set amount of capital to do what it has to do for the future. When major corporations need capital for certain things private placements are offered. There are companies that do as their buisness, private placements, mergers, acquistions, etc. etc. etc.There is a downside to private placements which is the price falling lower than what you purchased it at.

You take certain risks in every stock and investment transaction plus you can loose your shirt if you are not careful.

PS My pet Peeve is people trying to nail shareholders with their innocent role playing BS. Like a couple on AVBC till we had the black and white proof, HVAR till we had the black and white proof, etc. etc. etc.
