Jeff, according to the Company's filings, unless recently changed, ABMI is registered under the laws of the state of Nevada. It is the state law that determines shareholder voting requirements. According to Nevada Revised Statutes NRS 78.207, and in very general terms because I am not a lawyer, I believe shares can be increased or decreased by a resolution of the Board of Directors unless specified differently in a company's Articles of Incorporation. I don't know what it says in ABMI's Articles of Incorporation, but a reverse split seems to be a pretty important issue with you. You might ask Rash for a copy of the Articles and consult an attorney for a valid legal opinion. Or you may find the Articles on the internet as an exhibit to a filing.
