Wiseowl, you certainly know how to twist things around. Use your common sense for once.

From what you know, at what point does a company acquire another? Most acquisitions take time to complete even after the agreements are signed. There are always numerous conditions. This acquisition is no different. There may be other issues but there always are issues and clauses that may result in a party withdrawing from the deal. Name a deal in the recent past where this hasnt been the case? MIC-Netcom? the AT&T deal? There doesnt exist one. In this deal however, TSIG has done a good job of protecting itself. They still get the licensing rights to the music.

The clauses that are being addressed if I remember correctly are the termination clauses. These are typical and are contained in almost all acquisition and joint venture agreements.

Wiseowl, your questions relating to these agreements while in the guise of doing due diligence are in fact designed to create a smoke screen, that blurs people's vision as to the real nature of the
business concept that TSIG is creating.
