It doesn't have to be fraud to be something you can sue over. It can be pure mismanagement. Managers sucking the company dry at the expense of the commons shareholder's may not be fraud if disclosed, but it sure is a breach of responsibility and can result in lawsuit. You don't need to put 'em in jail.
