I believe, but am not sure, that both Fred's and Sid's transactions are also under scrutiny. that takes that reason out of it. As far as owning shares, you either own them or you dont, so as far as alignment of interests, JJ's are more aligned using your reasoning. the interest free loan for options happens at many other companies, so I dont view it as an integrity issue. It is legal and it happened.
I am no accountant, but I think if there accounting method was improper, deloitte and touche would not have signed off on it.
