It is my understanding that with a proxy vote, we could demand a new election for the Board of Directors. In this way, we could get more rational directors which might make it easier to get the 80% vote needed to oust Forbes easily.

Of course, I have my strong doubt that the contract between CD and Forbes is even valid if extensive fraud is proven. I'd be inclined to fire Forbes and then fight it out in court. Of course, that assumes that the auditor and my lawyers thought that was prudent.

Even if Forbes gets his $ 50 million for not becoming CEO, at least he would have had a public statement made by the company against him.

I was glad to see CD hold around $ 16.00, though $ 17.00 was much nicer :o)
