The CIEN Plan of Merger (actually a Joint Proxy Statement and Prospectus with TLAB) sent to all shareholders was a very, very interesting read. Besides all the disclaimers, cautionary words and all that, I found the "Background of the Merger" quite revealing.
It gives a day-by-day account of all the negotiations, meetings, etc, and identifies a "Company A" that also was in the bidding for stock exchanges with CIEN, at a premium, for a business combination. Company A is not identified but they lost because the TLAB offer was more attractive.
Anyway, I voted my shares for the merger. If you can get access to this statement, actually about 100 or more pages, I think you will find it interesting. |
