Larry, By the way, Fred didn't seem very placated at the AGM to me!

That's the whole point. The timing of the COO appointment seems like Sid knew very well what Fred was up to and was willing to try to keep/use Fred's expertise without giving up his own seat. By offering Fred the COO position he was clearly saying we need you, we'll give you a position of authority and responsibility , but don't rock the deck of the Good Ship Naxos. As you said, Fred could easily have chosen to work with the new board but he stood his own ground and lost. I notice he didn't resign gracefully but was dismissed by the executive committee. Of course I wasn't at the AGM and much of my opinion comes from interpreting information posted here but I don't think my post is so far off as to be ALL wrong.
