All good points, just for fodder here is a comment from someone working on the GTE internetworking (former BBN) division.

"Overall, the new company wins. I do not know who will have control,
although my gut reaction is that Bell Atlantic will run the ILEC side and
GTE will run the CLEC and Long Distance side.

Overall, the price paid is below market value. I wouldn't be suprised if
there is another offer in the wings. (BellSouth or Sprint?)"

the last sentence may deserve some thought-- a bidding war anyone.
