re: strange situation - It is very common to put corporate land aquisitions in a holding company owned 100% by the parent company for capital gains tax purposes. There is no advantage to doing it to protect it in the event of a bankruptcy of the parent company as the holding company assets are deemed to be the assets of the parent company. Its a very common land holding structure to protect the seller, not the buyer and his unsecured creditors. IMO nothing strange at all with the property purchase contract and its structure except the dramatic price drop when it was renegotiated.
