Transaction Automation Supplier Forms Net Commerce Division

------------------------------------------------------------------------

Redwood City, Calif. -- VeriFone Inc., a worldwide supplier of Transaction Automation systems and software, has formed an Internet Commerce Division. The new division will focus on driving the company's Transaction Automation solutions into emerging global markets for electronic commerce on the Internet.

"Creating the Internet Commerce Division focuses management, development and marketing resources on this emerging -- and by all estimates large -- market for Transaction Automation," said Hatim A. Tyabji, chairman, president and chief executive officer of VeriFone. "It also underscores our commitment to bringing the same security, convenience and reliability to Internet users that VeriFone currently provides at the merchant sales counter."

Roger B. Bertman has been appointed vice president and general manager, Internet Commerce Division. Bertman was previously vice president, Corporate Development, for VeriFone, with responsibility for developing new business opportunities through the establishment of alliances and partnerships with other companies. Prior to that, he served as vice president and general manager, Marketing and Network Systems, directing VeriFone's corporate marketing and strategic planning functions.

VeriFone's Internet Commerce Division is pursuing a number of initiatives designed to accelerate the growth of secure payments over the Internet. Among the initiatives are a joint development agreement with BroadVision under which VeriFone will develop a point-of-sale virtual terminal software module for integration with Broadvision's Interactive Commerce Management System software platform; participating in CommerceNet; and sponsorship of Object Definition Alliance (ODA), a coalition of leading companies from the electronic payments, financial services, information technology, entertainment, telecommunications and retail industries, formed by Oracle Corporation.
