They misrepresented the amount of outstanding shrares to Jack. Those shares were not listed anywhere as assets in the reverse merger. Yet they were assets, as they were free trading shares. Even if they were restricted shares they should have been listed as assets. American Registrar is listed in suit because they didn't get the paperwork to Jack until too late. That would have been the only way to know about the share issuance. No one would care if they were issuing shares and the shares had been listed as assets of the company, but they were not. Brandy
