So what happens if ICVI quietly (over the course of several months) issues these 19MM extra shares and stipulates in the agreement that they only had 20MM outstanding at the time of execution. I see no red herring here. Just fraud. It may well be. But what I DON'T think it is is the "illegal issuance of new shares", if you take my point. In that case it would be Christensen vs MTEI, but not necessarily Christensen vs the SEC. As I understand it, the SEC is investigating other matters entirely.
