Janice, 12/10/96 MRVC filed an S 3 regaurding the registration of shares that are being converted from the warrants that INTC bought.As well as shares that are being converted from convertable debentures that were issued for the fiberonics buy-out.Edmond Glaser told me it will take the share count to 24 million shares. Hampshire raised their #'s to 14 cents for Q4 and 77 cents for 97.Management is comfortable with these estimates. My only intention in addressing this issue is to deter the misconception that the fileing is for an additional 7 million shares. I didnt want to read any B S from shorts or idiots who thought we might have 30 million shares after the fileing.After all 3 brokers I know said this was the case and it took a simple phone call to the CFO to get it straight. I dont pretend to have the time to read a 300 page fileing. Kovich
