AT&T Worldnet can't be "on cable" without any access to the
other end of that cable coming out of a house. The other
end of any cable coming from a house goes to the cable company.
A group of these cable companies, serving about half of the
cable-wired homes in the USA, got together to form ATHM, and
still own most it. TCI was the ring-leader of this group, and
owns 40-some % of ATHM as a result.

If AT&T successfully buys TCI, then IT will own that
40-some % of ATHM. So, when "AT&T is on cable" it will
only be through the ATHM service.
So, your question is circular - "what does ATHM offer that
AT&T Worldnet can't, when AT&T offers ATHM?" is what you are
really saying...
