Sigmund -- here's a quote from that S-3 re. Mr. Davis, who owns one-third of the 239K shares in question:

"Mr. Davis has agreed not to sell more than 25% of these Offered
Shares prior to May 1, 1999, more than 50% of these Offered Shares prior to
May 1, 2000, or more than 75% of these Offered Shares prior to May 1, 2001"
