Fred, it makes more sense to convert at higher rather than lower prices if you think the stock is going up.

Usually preferreds pay a certain rate of interest which is no longer payable when converted to common. Otherwise, there is really no difference at what price one converts. But why bother to convert unless you wish to sell? And why sell if you think the price is going higher.

IMO, the holder of the preferred has already had plenty of opportunity to sell at higher prices and is unlikely to be selling now, unless s/he just has an incredible number of shares and needs extra cash for some reason. Always a possibility.
