It actually seems to be the case with LTGL.

However, a shareholder meeting IS obligatory.
It gives the shareholders a chance to ask some questions and to get some answers.

As to a BoD meeting, they can bypass such a formality if they unanimously decide to proceed with a written resolution. Although, if a resolution needs to get shareholder ratification, they have no choice but to hold a shareholder meeting.
