REVERE SIGNS AN AGREEMENT WITH GLOBALCOM FOR THE DISTRIBUTION OF PREPAID CALLING CARDS

CALGARY, Aug. 6 /CNW/ - Revere Communications Inc. has entered into an
agreement with GlobalCom Inc. to jointly market and distribute prepaid
calling card products and enhanced IVR services to a network of accounts that includes over 300 retailers, backed by a national distribution network. This includes the introduction of numerous international clientele and innovative prepaid programs that will benefit from Revere's advanced platform capabilities.
GlobalCom, a Winnipeg based Company, was formed in 1996 to develop both accounts and innovative prepaid programs for a number of prepaid companies including GTS Canada, a US based prepaid calling card company. The agreement will see Revere and GlobalCom further develop its existing accounts and migrate them onto the Revere platform as well as spearhead in developing the marketing relationship under a 50/50 profit sharing scenario.
The Revere / GlobalCom agreement will seek to maximize the revenue possibilities of these accounts and magnify market penetration by providing a larger choice of prepaid calling card products and services to the retailers and distributors. This agreement is anticipated to positively augment both company's existing and future revenue, distribution and retail channels.
Implementation and product dissemination is to be immediate. The
agreement forms a working relationship between the two companies to
successfully transition GlobalCom's accounts into the Revere / GlobalCom business arrangement and exclusively onto the Revere platform. The agreement also provides Revere ''Right of First Refusal'' to acquire all issued and outstanding shares of GlobalCom at fair market value given an acquisition scenario.

After completing the due diligence process, Revere Communications Inc. has decided not pursue the acquisition of TCI (Telesonic Communications Inc.) and has ceased negotiations with the company.
