At this time the company is in the process of going over all the past SEC filings so they are absolutely correct and up to date so there will be no stumbling blocks for any potential suitors. They hope to have both TWC and LOCUS closed by the end of this month but we all know how this goes.My opinion is the closing will take place closer to the 15th of Sept. The definitive letter of intent for TWC is in their attorneys hands. If it goes as past DLOI's it will undoubtedly be wacked back and forth several times before we see a press release. Joe confirmed your feelings of last Friday when you talked with Dan and Larry and they could see no problems with the closing.

Joe did say that LOCUS is absolutely at capacity and will need about $4 million of additional switches to keep up with the new contracts they have signed. DCI-Europe needs $5 million of new switches to handle the existing business from the TWC JV plus a new contract that was signed since the annual meeting. Muller Media is definitely on the market and I got the impression we could hear something on that in the next 30 days. Joe did say that when this deal go through he has every intention of exercising the company's option of buying back the Conv. Preferred F series.
