It may well be that a bank may loan money and accept it as collateral for something significantly more than the price paid for it. But that is another issue.

Even by your own thinking, the only value that the landholders currently show for it is the value of the shares they currently hold. But those shares are not worth what they might be trading for today if MTEI was trading. They are restricted shares which discounts their value.

Just as it discounts their value today, so did it then. Since there is no way determine the value of the restricted shares at the time of the transaction, the only thing that is known with certainty is the value (the basis) for which the land was acquired by the landholders.
