"8.2.5
The Exchange is of the view that it is very rare for a listed company to have a promoter without the company's approval, acquiescence or knowledge. A listed company that has a promoter, or permits an Insider or an Insider's associate to act as a promoter or in any way engage a promoter, is expected to be fully informed about the activities of the
promoter. This means that a listed company should normally disclose the identity and activities of promoters associated with the company as discussed in more detail below.
It also means that the material and information being disseminated by the promoter, as well as the methods and extent of such dissemination, should be pre-accepted for filing by the listed company. Furthermore, some circumstances (for example, inaccurate information being provided to the market-place, or unusual market activity resulting from a promoter's activities) may necessitate the listed company publicly, by way of a news release, correcting any inaccurate information or disavowing the activities of persons that the company has not, explicitly or implicitly, authorized to conduct promotional activities on its behalf. "
