I believe they would appear in the "Shares of Common Stock Owned Prior to Offering" column, and I do not believe it has any impact on shares outstanding. The "Shares of Common Stock Being Offered" column numbers would likely increase as a result.

I don't believe so. I think it is more like "when they sell those shares, they'll then be able to sell more of what they already own." Follow?
