I know you are trying to make a point with this scenario to convince them that they cannot get controlling interest. I agree with you that they will not get controlling interest and I believe it is academic anyway. Ad Hatters and Envirotec should do very well after the spinoff and will have the cashflow to support themselves. The remaining CSMA shouldn't have much overhead associated with it after the spinoff.

That is true, but they are nowhere near using their authorized right now. They could have diluted 10's of millions of shares, RIGHT NOW, without the reverse. They haven't, and most principals are not drawing any salary. The company is not trying to shift money from CSMA shareholders to the company as evidenced by reasonable G & A figures.

The reverse split is not being done to allow dilution to take place. They don't need a reverse to dilute. The company is being split into 3 smaller companies that don't warrant the number of shares outstanding.

I know that your post was to make a point and I understand that. I just want to let everyone know how I view this specific reverse split. I said it before, I don't like reverses, either. Didn't some company just do a 1 for 2000 reverse? In comparison, a 1 for 5 doesn't seem too bad to me.
