If I own 3M stock, and 3M merges with Dupont, my 3M shares are going to become Dupont right? If my 3M shares were freely trading before Dupont bought 3M, wouldn't my Dupont shares be free trading too?

So, if Paul's wife owned a boat load of Sunlight Systems stock, which was free trading prior to the reverse merger that created NPCT, wouldn't her free trading SUNY shares become freely trading NPCT shares?

I understand that Paul has restricted NPCT shares, which he can not sell. I also understand he has 1 million NPCT options at less than $0.40 that are unrestricted. But what about the free trading shares Paul can directly benefit from if Cheri Perry (his wife) sells her freely trading shares of NPCT?

How many shares of Paul's stock, or his wife's stock had to go into escrow in order to strike a deal with Mr. Hirsch, and why was there no mention of the escrowed shares in the recent lengthy (60+ page) NPCT 8K, which spelled out all the details of the Purchase Agreement between NPCT and Mr. Hirsch? I wonder what the terms of the escrow are?
