The statement refers to a decision shareholders are being asked to make at the upcoming Annual General Meeting of Shareholders on Dec. 23 - selecting between two alternative boards and CEOs. Creating this statement was a spontaneous initiative, independent of corporate communication. All employees were asked to provide input in drafting the statement. Employees were also promised that the names of those who sign (or, by inference, do not sign) the statement will not be made available to either of the proposed company boards or CEOs. ISG Employee Position Statement: We, employees of ISG Technologies, believe that it is critical for the company's shareholders to be informed of our position when they consider their vote on the new board of directors at the December 23 Annual General Meeting. Over the years, ISG has developed a set of common values, key among them openness, fairness and respect for the individual. We feel most motivated, creative and focused when working under management that supports such values, such as under Michael Greenberg's leadership. Moreover, we believe that such values are essential in attracting, keeping and fostering the talent required to succeed in our hi-tech business. During the recent period in which Mr. Tom Cafarella, under Quorum's guidance, managed the company, there was a growing discomfort with his management style and the values it represented. These feelings grew into a loss of motivation and a growing alienation. Many talented employees left the company, and, at the time of Mr. Cafarella's dismissal, many more were seriously considering abandoning ship. Following Mr. Cafarella's departure, there was a sense of renewed belief in the future success of this company and a restored desire to do our best and stick around for the long-term. We have reason to believe that, should Quorum's board of directors be elected, the company will lose key people, much goodwill and energy, regardless of what business plan or vision is pursued. -30- |
