DALLAS--(BUSINESS WIRE)--Aug. 14, 1998--Key Capital Corporation (OTC BB: KCAP - news) announces that it has reached agreement to acquire 560,000 shares in Care Systems Corporation in consideration of the issue of 1,500,000 Key Capital Corporation shares. Care Systems Corporation specializes in workers compensation administrative systems and has annual revenues of approximately $85 million. Major shareholders of Care Systems include G E Capital and the Carlyle Investment Group. These shareholders acquired their interest by payment of US$2.37 per share. Care Systems is currently exploring expansion and IPO opportunities and Key Capital's acquisition is for strategic investment purposes.
