Further to who owns the issued shares, Market Guide reports that TLAB is about 80% institutional owned.

So, insiders own 13%, AMEX and Putnam another 10%, other insitutions another 70% and little guys the remaining 7%. If that is the case, the vote on Friday will certainly be dependent on what the institutions conclude.

Perhaps, then, the risk that the market is giving this deal -- as reflected in what is currently a 4 point spread -- is the risk that institutions do not buy into Birck's logic come the 21st (as opposed to a risk that mgmt might back off).
