During the second quarter of 1998, the Company settled a claim of trademark infringement with Charter Communications, Inc., a St. Louis, Missouri, based cable television company. In the settlement, the Company agreed to change its corporate name by September 15, 1998 and to cease all use of the words "Charter" and "Charter Communications" in the conduct of its business. As part of the agreement, Charter Communications, Inc. purchased 250,000 shares of the Company's common stock for $1 per share on May 19, 1998.
