MskiHntr, SI has now two sites where floorless are discussed in general (and not too many posts), just do a title search on "floorless". To make a long story short, it has replaced the Reg S used in the past, now that Reg S has to be disclosed shortly after it issued, the "wunderkids" on the street invented a new instruments which in 90% of the cases, so far is simply a "legal" means to fleece investors in the common shares.
