CPI also has to approve the merger. As long as TSNG's price hangs in there, it works out. If we end up in a waterfall market (Dow at 7000), TSNG could fall below 2. TSNG is public and subject to market whim while CPI is private and has a fixed, underwriter-set valuation. The exchange ratio of the stock could be changed if the relative valuations get out of whack. It's a possibility, not a certainty. Just be aware that no deal is done until the vote is counted, the papers are signed and the money changes hands.
