$1-$2 is a possibilty based upon certain assumptions.

Need to see the '97 financials in black&white first, and the deal needs to be closed first, but I think $1 (or real close to $1) is definitly achievable. Might be $2 if their profit margin is higher, or it could be $.50 if the profit margin is lower. Too many unknown variables right now, but I think the price will range from $.50 - $2.50 with $1-$2 more probable.

Estimate:

Assumption: 10% net profit. (may be higher/may be lower)
Assumption: 50 million shares fully diluted (taking into account preferred conversion and warrants exercised, and being slightly pessimistic).
Assumption: P/E ratio of 18

Profit = $26M * .10 = $2.6 million
EPS = $2.6 million / 50 million = $.052

$.052 * 18 = $.936 [20% net profit = $.104 * 18 = 1.872]
-------------------------------------
EPS = $2.6 million / 30 million = $.087
$.087 * 18 = $1.56 [20% net profit = $.174 * 18 = 3.132]
