3/31/98 -- Very old news. The latest 10K will show no debt, a valuable tax loss carry forward and fewer outstanding shares, and be the platform for a serious company to make big profits.

The acquisition of SkyNet took some time from the signing of the LOI to work out the employment contracts, service contracts and all the legal BS between all the parties. The signing of the final contracts makes it official subject to submission of minor documents that have all been agreed to. USXP will own 51% of Skynet next week.

Skynet is profitable to the tune of $.50 per USXP share and will become more profitable as APAC membership rapidly increases. APAC membership will increase rapidly because major cost savings and increased benefits will now be associated with membership. APAC members will add profits to USXP's bottom line and much more profit to Skynet's bottom line. All this takes place in a tax free environment due to the tax loss carry forward you just presented to us.

Share price will climb and those of you who buy now will get rich. Warrant holders will end up making money on their warrants and RA will receive massive cash infusion for elimination of debt and acquisition of the other major companies that he originally sought out.

This is a major buying opportunity for newbies and as the word spreads, all losers will have an opportunity to get out whole, if you choose not to take the ride with the rest of us.
