There don't seem to be grounds for a suit against CIEN - as you say this is a garden variety earnings warning. The only possible grounds for a suit might be that the TLAB directors have failed in their fiduciary duty of getting the best deal for their shareholders (by renegotiating). Presumably they've retained outside counsel to advise them on this issue, and that they've decided that the risk is not material.
