Client sells business in 1998 (stock not assets) for $10 million, assume basis zero - l-t 20% cap gain. Another $2.5 million signing bonus and non-compete - ordinary. Couple hundread thou wages. Each of next five years, half million wages and non-compete, plus significant earnings on proceeds from sale. Other income and deductions nominal.

How can I stay out of AMT? The state tax (MN) keeps pulling me in if we pay it now or safe harbor and pay by jan 15 1999. Maybe we split it between years.

Any thoughts off the top of your head?
