You issue paper for acquisitions when your stock
has a fair market value.

BELF has over $7/share in cash so it is selling
at a net PE of only 4. It is also selling below
book value in a market where the average stock
sells at 3 to 4 times book.

Thus BELF would be limited to cash deals for right
now.

Full details should be known when they file for
anti-trust clearance - this should be imminent as
they plan to close the deal by end Sept.

If they can close on time, revenues will take a big
jump in the 4th quarter this year.

Future deals are likely to use the "B" stock once
the market adjusts to a reasonable valuation.
