Per RagingBull poster:

6.228 million shares will be outstanding, implying $31.141 million valuation for new company -- isn't that about the same as Osicom's current valuation?

Underwriter will receive 7%, or $1.016 million.

IPO will float 2,905,000 shares, or 46.64% of the float. Will Osicom retain the rest?

Can someone please post more details:

a) What is the record date for being granted the rights?
b) Is that 3 shares pre-reverse-split or post-reverse-split?
c) Who will the managers and directors be? What will Par's involvement be?
d) Why is it priced at $5/share? (Possible answers: They don't want to let Craig short the issue above 5; They want it to drop below 5 so they can do a reverse-split to make it more attractive to the NASD and institutional investors.)
e) Are all of the shares being offered by the new company, or are some coming from Osicom insiders?
