GC, There is 47,000,000 shares outstanding. Approx. 17,000,000 are held by the company (officers,insiders,etc.). 15,000,000 shares are held through the purchase of Prodigy. 8,000,000 shares are held by 4 investors through the offering. This leaves us with approx. 7,000,000 shares in float.
Based on this, none of us need to vote if the company and Prodigy are for the buyout.
47M * 80% = 37.6M - (17 + 15 + 8) = more than enough votes...
