Excuse my intrusion but the "people" who do the reg d and s NEVER lose money on these deals. They short everything at the beginning and all they are looking for now is the "cherry" on the top. NEVER is a reg d financier a loser in one of these deals. These deals are rarely between strangers so a suit is often not what it seems. IMHO
