I haven't seen the latest Edgar filing -- and I'm not a corporate attorney anyway -- but a change in the state of incorporation can be done for several reasons, including finding a state that provides more shelter against hostile takeovers (a concern with this depressed stock price) or a lower tax rate (one day IDX will run out of tax credits). FYI, DBII recently changed its state of incorporation to Rhode Island. I don't know why.

As for more stock, that stuff can be used for secondary offerings -- although we'd be much better off with a secondary and a high stock price. What's the present limit on stock shares?
