How can they sell securities if they are not a registered member of the NASD? Restricted or not. Solicitation for investments is very regulated. Did WellRich act as a broker/dealer in this situation? And if they are not a registered b/d, what states did they solicite for these investors for this deal they conducted with WellRich. We know WellRich sold these securities to investors. What filings do they have or qualifications under NASD rules to conduct such business. Are their any disclosure documents to these investors that WellRich is not a broker/dealer? What materials did they provide to these investors?
