bgtit....is a company allowed to sell their unregistered shares shares themselves? It seems that aznt isn't sure about this themselves as of last year...

june 30, 1997...aznt.....The shares of common stock sold to certain of the Company's present shareholders were not registered under the Act of any state securities' laws. The Company believes that such sales did not involve a public offering within the meaning of Section 4(2) of the Act. In the event that an exemption for such sales is later determined not to be available to the Company or that such offerings should be integrated with the public offering, the Company may be required to rescind such sales as are not entitled to any exemption or take such other steps as may be necessary to comply with federal and state securities laws for such sales. The Company does not intend to rescind such sales, but if required to rescind, the Company will be required to refund $714,914 in cash in certain of its present shareholders.
