JH, as a matter of fact, a public company can offer its shares directly to a possible shareholder or REGISTERED BROKER/DEALER. It has been very clear that WellRich was not, and made claims that they had investors to purchase these securities. My question still goes unanswered. Maybe you can help, What NASD regulations states who is allowed to offer restrictred shares, to call upon individual investors and recommend the purchase of a speculative, designated security? Did WellRich follow Blue Sky Laws for solicitation, and the Penny Stock Cold Call Rules? what states did WellRich call into? What information did WellRich provide to these potential or in this case, past investors, disclosing that they were not a broker dealer? Also, what claims did they make to these investors in reference to AZNT. What sales material did they provide beside a private placement memorendium? Is a PPM enough? Did they read the PPM and realize that the stock they were issued had a lock up clause in it to hold the stock for 2 years? Section 4(2) as you have quoted is the only leg AZNT has to stand on in its defense where WellRich is concerned.
This is my last post to SI for a while and I will go back to lerking for awhile. Which brings me to making the following address:
Is AZNT a real company? Well, Touch of Nature(tm) is a real product selling like mad( my reason for getting involved was will this stuff sell, and it is.) Other products are real and selling as well. The relationships that have been disclosed here on SI, are real and those that have harmed the company are just as real. Is the court orders real, yes.
Due Diligence is not reading SI, and is 90% of what goes on SI, does it have anything to do with due diligence actual due diligence, oh HELL no. AZNT is in the process of being researched to get economic developement funding. Non-dilutive financing, and eventually to create banking relationships. A real IR company has been introduced to AZNT, and eventually I hope that Mike Sylver gets a real investment banker, which is being worked on by me.
A public company that is a bulletin board is 9 times out of 10 a designated security. Does this mean that the company is a scam, NO! Investment decissions are based off of proper homework, and SI is not that venue, phone calls, material, and in the end ones own choice. So why am I here with AZNT, I believe in the product Touch of nature(tm) and my own abilities to help AZNT achieve its goals. Do I get paid for assisting AZNT in getting economic developement financing and non-dilutive money, yes of course. What my company gets is between me and AZNT. AND none of SMARTINS business. Our intentions with AZNT are clear, allow revenue to go to the balance sheet and let us offset your expenses to expand, increase production and research and developement for potentially new products.
Where we all lost focus on AZNT is the market. Alot of material has been flying around about AZNT and having the " Fox In The Hen House." Granted, some of the individuals who are involved or WERE involved with, are not the most reputable people, and some of the names associated with AZNT purely BITE, but AZNT is doing everything within there power to fix all that with help. As for Quiel, I know his problems, he and I have talked about it all extensively( I grinded the hell out of him). I have no reason to believe at this point he is doing anything but helping AZNT beat those that have hurt him. I have met Mr.Q and he is actually very intelligent. His involvement with AZNT is because of his belief in the Touch of Nature(tm) and other products. He has done nothing to me to think otherwise. His intentions are noble.
Should AZNT go with a firm that by their own claims has been around for 30 years with a cast of characters, well, that is not my decission to make. I can advise, and provide my opinion, but in the end its Mikes choice or as a shareholder its your voice that carries a long way.
Back to lerking for awhile, and I am sure that this post is going to get me in trouble with my partner and the company, and damn, I didn't voice my real opinion about being set up(do not even ask), and a few other things, but live and learn, and CYA.
