I can't believe you asked that question. Management is suppose to be watching the ship of state, and protect the company's assets and stockholders. If management is, hypothetically, a sham, a puppet of ESVS, who is guarding our interests?
Management is suppose to have undivided loyalty to its company, and shareholders. If there is no management, or management is the same as that for ESVS, then everything has been abdicated to ESVS.
What interest does ESVS have to protect ZULU's interests, to make sure ESVS pays a fair price (i.e., more) for ZULU's assets, to make sure the merger/combination deal is fair, etc.
