Thomas, those are not the people that tend to walk. Generally a hostile takeover results in the removal of some top management (these are the guys responsible for the problems) but good management is retained. The idea is to clear out the dead wood. Engineers and designers are generally not affected by such moves. If this is an R&D company, then these are the folks TLAB would want to retain and believe me, they would make sure they are very happy.

Remember, too, that the whole idea behind poison pills is to protect the jobs of top management, not to protect shareholders or employees. Calling these provisions "shareholders' rights" is the ultimate irony because they tend to keep potential purchasers away. Remember, in a hostile takeover shareholders are asked to tender their shares at prices which are generally a significant premium over the market (remember the ITT Hilton-Starwood case?)

In any event, the market is acting as if the deal has a better than even chance of being dead.
